Greenfert, Positive Investments and Management, and Demetra informed PJSC Acron of receiving 14.6%, 16%, and 14.5% of PJSC Acron shares respectively, for fiduciary management.
The resolution to transfer the shares owned by JSC Acron Group to fiduciary management was passed by its Board of Directors.
As a result, a total of 45.1% of PJSC Acron shares was transferred to fiduciary management, and the stake representing votes held by Redbrick Investments S.à r.l. and JSC Acron Group decreased to 40.9%. Another 9.3% of shares are registered on PJSC Acron’s books as treasury stock, and the rest of shares are in free float.
According to the laws, a fiduciary manager exercises an owner’s legal powers in respect of property transferred to fiduciary management.
The fiduciary managers must continue to ensure that PJSC Acron and its subsidiaries comply with financial restrictions in respect of PJSC Acron’s ultimate beneficiary envisaged by the Council Regulation (EU) No 269/2014, including the guarantee that no funds or economic resources of PJSC Acron shall be made available, directly or indirectly, to or for the benefit of its ultimate beneficiary.
